1. Agreement to Terms
By accessing or using MLPractitioners' computer vision SaaS platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
2. Description of Service
MLPractitioners provides a cloud-based computer vision platform that enables users to:
- Create and manage computer vision projects (object detection, instance segmentation)
- Upload, annotate, and process images
- Train custom machine learning models
- Access trained models via API
We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. Account Registration
To use the Service, you must:
- Create an account with accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be at least 18 years old or have parental consent
You are responsible for all activities that occur under your account.
4. Subscription and Token-Based Purchases
4.1 Subscription Plans
We offer subscription plans that provide access to the Service on a recurring basis (monthly or annual billing). Subscriptions automatically renew unless cancelled before the renewal date.
4.2 Token Purchases
We also offer token-based purchases that provide credits for specific actions (e.g., training jobs, API calls). Tokens are non-refundable once purchased, except as required by law or as specified in our Refund Policy.
4.3 Payment Terms
- All payments are processed through Paddle, our third-party payment processor
- Prices are displayed in USD and may be subject to applicable taxes
- You authorize us to charge your payment method for all fees
- Failed payments may result in service suspension
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Upload content that infringes on intellectual property rights
- Upload malicious code, viruses, or harmful content
- Attempt to reverse engineer, decompile, or hack the Service
- Use automated systems to access the Service without authorization
- Share your account credentials with others
- Interfere with or disrupt the Service or servers
6. Intellectual Property
6.1 Our Content
The Service, including all software, designs, text, graphics, and other content, is owned by MLPractitioners and protected by copyright, trademark, and other intellectual property laws.
6.2 Your Content
By uploading any images, annotations, data, or other content to the Service ("Your Content"), you hereby transfer and assign to MLPractitioners all right, title, and interest in and to Your Content, including all copyrights, intellectual property rights, and any other proprietary rights therein. MLPractitioners shall own and retain all rights to Your Content, including the right to use, modify, reproduce, distribute, and create derivative works from Your Content for any purpose, commercial or otherwise, without any obligation to you.
You represent that you have all necessary rights to transfer ownership of Your Content to MLPractitioners as described above.
7. Model Training and Results
All models trained using the Service, including any models created from Your Content, are the property of MLPractitioners. MLPractitioners retains all rights, including copyright and intellectual property rights, to any models, training data, or results generated through the Service. However:
- We make no guarantees about model performance, accuracy, or suitability for any use case
- We are not liable for any decisions made based on model outputs
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:
- Scheduled maintenance
- Technical issues or failures
- Force majeure events
We are not liable for any losses resulting from service unavailability.
9. Data Storage and Retention
MLPractitioners retains all data, including Your Content, indefinitely. We store Your Content securely, and:
- All data uploaded to the Service becomes the property of MLPractitioners and will be retained
- We reserve the right to use, store, and retain all data for any purpose
- Data will not be deleted upon account termination or cancellation
- We reserve the right to remove content that violates these Terms, but such removal does not affect our ownership rights
- Legal Exceptions: Users in certain jurisdictions (such as the European Union under GDPR, California under CCPA, and other regions with similar privacy laws) may have legal rights to request deletion of their personal information. We will honor such requests to the extent required by applicable law, while maintaining our ownership rights to content and data as described in these Terms
10. Termination
10.1 By You
You may cancel your subscription or close your account at any time through your account settings or by contacting us.
10.2 By Us
We may suspend or terminate your account immediately if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay required fees
Upon termination, your access to the Service will cease. All data, including Your Content, remains the property of MLPractitioners and will be retained indefinitely.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRIOR TO THE CLAIM
12. Indemnification
You agree to indemnify and hold MLPractitioners harmless from any claims, damages, or expenses arising from:
- Your use of the Service
- Your Content or violation of third-party rights
- Your violation of these Terms
13. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which MLPractitioners operates, without regard to conflict of law principles.
